General Terms and Conditions for the distribution of PayRedeem eCards

Section 1: The general terms and conditions for the distribution of eCards.

1.1 These general terms and conditions apply to any offer by Primex Payments d.o.o. to sell PayRedeem eCards.

1.2 Primex Payments d.o.o., an entity registered under the laws of Croatia, with registered address located at Strojarska cesta 20, Zagreb, registered in the court register of the Commercial Court in Zagreb under MBS number: 080985910 and OIB: 84324054341 (hereinafter, “Primex Payments”).

1.3 Primex Payments is an entity authorized by the Croatian National Bank as an Electronic Money Issuer.

1.4 If any provision of these general terms and conditions is null and void or annulled, the remaining provisions of these general terms and conditions will remain in full force and effect.

Section 2: The purchase agreement

2.1 The offer contains a complete and accurate description of the PayRedeem eCards.

2.2 Primex Payments is not the issuer of PayRedeem eCards. The offer is at all times limited to what is offered by the issuer of PayRedeem eCards, this is, Global Primex Limited, an entity with its main office located at Level 10, Maeva Tower, Silicon Avenue, Cybercity, Ebène, Republic of Mauritius. Global Primex Limited can be contacted via e-mail at [email protected] or via phone at (+44)1628200487 (UK) or (912)800-0083 (US). Global Primex Limited renders its services on the basis of a Payment Intermediary Services License number C116016613 issued by the Financial Services Commission of Mauritius (hereinafter, the “Issuer”).

2.3 The purchase agreement is formed when the consumer click the “pay” button and the payment is authorized by the consumer.

2.4 Upon receipt/confirmation of payment, the PayRedeem eCard(s) will be delivered immediately.

2.5 The price of the PayRedeem eCard is the price stated in the checkout payment page.

Section 3: Delivery and execution

3.1 Delivery is made by email. The consumer must provide the correct email address and verify it properly. If the consumer has provided an incorrect email address, the PayRedeem eCard cannot be delivered again. Therefore, the consequences of providing an incorrect email address are entirely the responsibility and risk of the consumer.

3.2 In the event of a defect, the consumer will be obliged to cooperate with Primex Payments and the issuer to ascertain the cause of the defect. The consumer is required to provide all relevant information, such as a screenshot of the error message, the account value, currency and the website URL of the redemption page.

Section 4: Fraud

4.1 In the event of fraud, money laundering or terrorist financing, or suspicion thereof, Primex Payments reserves the right to, among others, carry out the following: (i) withdraw an offer; (ii) dissolve or not enter into an agreement; (iii) request additional information; (iv) suspend delivery during the period of investigation; (v) suspend any reimbursement during the period of investigation; (vi) recover or set off damages suffered as a result of fraud, money laundering or terrorist financing, including investigation costs; report fraud, money laundering or terrorist financing to police, the relevant institutions (financial and other) and fraud platforms.

Section 5: Warranty

5.1 Primex Payments warrants that the PayRedem eCards comply with this General Terms and Conditions, the specifications stated in the offer and the reasonable requirements of soundness and/or usability and the legal provisions.

5.2 The validity and lifespan of PayRedeem eCards is determined by the Issuer, which should include completion of the KYC (Know Your Customer) requirements.

Section 6: Liability

6.1 Primex Payments is not liable for damage in the following scenarios: (i) in the event of fraud, money laundering or financing of terrorism or other unlawful act or suspicion thereof; (ii) resulting from loss, theft, destruction, misuse or improper use of PayRedeem; (iii) due to restrictions or limitations in product terms of the Issuer; (iv) resulting from any act, omission or decision of the Issuer if consumer has breach the terms and conditions of PayRedeem; (v) resulting from any incorrect entry of the email address, incorrect country selection or other incorrect entry or choice by or of the consumer; (vi) resulting from an act or omission by third parties; (vii) if the Issuer or the operator of the website where PayRedeem is redeemed has detected fraud, money laundering or terrorist financing or has any suspicion of that.

6.2 Primex Payments is not liable for indirect and consequential damage.

6.3 In the event of liability for a defective PayRedeem eCard, Primex Payments will either provide another equivalent PayRedeem eCard or refund the amount paid.

Section 7: Complaints procedure

7.1 Complaints about the performance of this General Terms and Conditions for the distribution of PayRedeem eCard must be submitted to Primex Payments, with a clear description of the complaint.

7.2 Complaints submitted to Primex Payments will be answered as soon as possible, but at the latest within a period of 14 days from the date of receipt. If a complaint requires a foreseeably longer processing time, Primex Payments will notify the consumer within the 14-day period of when to expect a more detailed response. Primex Payments will make every effort to find a satisfactory solution.

Section 8: Disputes

8.1 Any disputes between the consumer and Primex Payments will be submitted to the competent judge of the Croatian courts, unless another court is competent to hear and determine the dispute.
